LaneTerralever merger earns Deal of the Year

The merger between E.B. Lane and Terralever into LaneTerralever was recognized Thursday as the 2013 Deal of the Year by the Association for Corporate Growth-Arizona Chapter (ACG).

The award was presented at the organization’s Southwest Mergers & Acquisitions Conference, which concluded Thursday at the Fairmont Scottsdale Princess Resort.

E.B. Lane had a 50-year track record as one of the Valley’s top advertising and public relations agencies, while Terralever had developed a strong reputation and client base since its founding in 2002. Both were looking for strategic partnerships that would enable further growth and expansion. As they now put it, they were “Creating the Agency of the Future — Today” through the transaction.

“We congratulate the team involved in the merger, as well as the entire LaneTerralever team, on this transaction and what it has meant for this dynamic new company’s growth,” said Sanat Patel, President of the ACG-Arizona Chapter Board of Directors. “This is the kind of transaction that helps fuel Arizona’s economy and is at the heart of what ACG-Arizona is working to promote in our state.”

The LaneTerralever merger was nominated by JDB Capital Partners LLC, the investment banking firm advising on the transaction. The law firms of Bryan Cave LLP and Polsinelli PC, as well as the accounting firms Wallace Plese + Dreher and Eide Bailly, were involved in making the merger a reality.

The other two finalists were:
— Recapitalization of QK, Inc. by Cave Creek Capital, Stewart Capital and Seacoast Capital, nominated by Greene Holcomb & Fisher LLC
— Sale of the Pinto Valley Copper mining and milling operations and related railroad company, nominated by Polsinelli PC

The Deal of the Year Award is a coveted honor given annually to a company or private equity firm in recognition of their accomplishments in Arizona’s mergers and acquisitions or capital markets marketplace. The award recognizes a deal/transaction in the Arizona marketplace involving established businesses with between $10 and $750 million of revenue that closed in the 2013 calendar year.

Endeavour Capital’s purchase of Arizona Nutritional Supplements was recognized as the 2012 Deal of the Year last year.

Finalists announced for Arizona Deal of the Year

The Association for Corporate Growth-Arizona Chapter has announced the finalists for its prestigious “Deal of the Year” Award, which will be presented at the organization’s Southwest Mergers & Acquisitions Conference on May 14-15.

The three finalists are:

LaneTerralever Hits 25% Revenue Growth

Marketing services firm, LaneTerralever, is off to an unprecedented jumpstart in its first quarter with the announcement of several new business wins – solidifying its merger strategy for exponential business growth. Topping the list of prominent new engagements are Blue Cross Blue Shield of Arizona, Republic Services, the reactivation with long-term client, Visit Phoenix, and an internationally renowned manufacturer of high-performance outerwear. The merger of advertising and digital agencies, E.B. Lane and Terralever, also has incited a hiring surge of 18 new employees with approximately six open positions. LaneTerralever currently employs 110 marketing professionals and anticipates that number to continue to grow throughout 2014.

Blue Cross Blue Shield of Arizona, the largest Arizona-based health insurance company, has retained LaneTerralever for public relations services after an extensive five-month selection process. Fortune 500 company and second largest waste and recycling firm in the country, Republic Services, retained LaneTerralever for web design services. Long-term client, Visit Phoenix, reactivated its relationship with LaneTerralever for its creative expertise in support of its This is Phoenix travel and leisure campaign. LaneTerralever Wins Best in Class

Phoenix-based LaneTerralever earned three 2013 Interactive Media Awards (IMA) including a Best in Class award for Thunderbird for Good, and two Outstanding Achievement awards – one for Honeywell Aerospace and the other for Translational Genomics Research Institute (TGen).

IMA is a competition designed to elevate the standards of excellence on the Internet, and is presented by the non-profit organization, Interactive Media Council, Inc. (IMC). IMC is a group of industry leaders made up of web designers, developers, programmers, advertisers and other web-related professionals.

“A key part of our business is solving our clients’ problems with the best solutions available,” said Chris Johnson, president of LaneTerralever. “Receiving industry recognition for doing so is particularly rewarding – especially for clients the caliber of Thunderbird, TGen and Honeywell.”

LaneTerralever created a website for DreamBuilder, an online business education program developed by Thunderbird for Good and Freeport-McMoRan Copper & Gold, specifically for women all around the world. Although the courseware was complete, the program was lacking an attractive website to house DreamBuilder and showcase it to students, partner institutions and the media.

LaneTerralever created a more aesthetically pleasing DreamBuilder website that is more functional for all users, including those with low bandwidth. The English version of the program, DreamBuilder America, received its website just in time to be announced at the Clinton Global Initiative (CGI) America. The Spanish version of the website, using translated content, is expected to reach several thousand women in the coming years across the U.S. and around the world.

TGen, a non-profit organization focused on developing earlier diagnostics and smarter treatments, is a globally renowned leader in genomics research. TGen tasked LaneTerralever with consolidating its main website with its Foundation website, as there was a lack of efficiencies due to significant overlap and duplication with the two sites. A new website was instrumental for helping the organization achieve its online marketing and communication goals more effectively.

The new website provides a richer visual experience for visitors as they engage with the brand. It has a fully responsive design which adapts to the dimensions of varying screen sizes with seamless content integration to mobile devices. The site also provides a connection port with an e-mail marketing system and enables TGen staff to make updates and changes to the website, keeping content fresh and relevant.

Honeywell Aerospace leaders in products and services in the aviation category, required a website that would drive users with ease and accuracy through a highly developed taxonomy system. By segmenting audience members into different groups with specific interests and relevant content, the new Honeywell Aerospace website provides a powerful user experience not typically found in the aerospace industry.

LaneTerralever Hosts Operation: #SocialSanta

LaneTerralever, is hosting its second annual Operation: Social Santa happy hour and toy drive Thursday, Dec. 5. The event benefitting the Arizona Toys for Tots Foundation will take place at Handlebar and Grill in Tempe from 5 to 8 p.m.

Using the power of social media to generate awareness through Social Santa, LT will bring the public together to network and celebrate the holidays for a good cause. Founded in 2010, the toy drive was designed for social communities to join in a collaborative effort to make a difference while sharing their experience on social media.

Cost of entry to the Social Santa event is a new, unwrapped toy with a suggested value of $20. Each toy donation will be exchanged for a raffle ticket for a variety of prizes throughout the evening.

“Our goal is to donate 300 toys to Toys for Tots,” said Chris Johnson, president of LaneTerralever. “Giving back to our community is core to LaneTerralever and we are thrilled to be able to help brighten the holidays for local children in need.”

LaneTerralever hosted Arizona’s very first Operation: Social Santa in 2012 with the idea that social media can also be used for social good. Rallying members of the social media and digital community through posts and shares online, LaneTerralever raised more than $5,000 and donated more than 140 toys to Toys for Tots last year.

Impact on OnTrac: In 2013, Fischer coordinated $40 million in new borrowings, which facilitated the buyback of employee stock option plans and the implementation of material handling, as well as allowing for the working capital for increase of business.  More than $20 million has been invested into equipment that will help OnTrac increase its package delivery from 50,000 packages a day to more than 300,000 packages a day. This type of automation significantly reduces the cost of delivery to the company.

CFO of the Year, Private Company

Tom Harris, executive vice president and CFO, Arizona Diamondbacks

Harris oversees all financial operations, risk management, administration, stadium operations and ownership relations. His tenure in this organization and in the industry make him an integral officer in assisting the president and CEO and other executives in guiding the organization to success. His knowledge of the inner workings of local government is essential in the day-to-day affairs of stadium related matters.

Impact on Diamondbacks: Harris spearheaded a 2011 debt refinancing, bond tender offer and line of credit with JP Morgan that reduced long-term debt by $1 million and provides for reduced interest expense and improved cash flow going forward. In 2011, he also spearheaded a modification of the team’s concessions agreement that has significantly improved its concessions revenue share.

CFO of the Year, Public Company

Amin Maredia, CFO, Sprouts Farmers Market

In less than two years, Maredia has established a public company finance function while completing a major strategic acquisition, more than $700 million debt refinancing, and leading Sprouts’ initial public offering efforts. In addition, he designed Sprouts’ finance infrastructure, including implementation of analytical tools, which provide the ability to monitor current and accurately forecast future performance. Maredia has also used his vast retail experience to help Sprouts execute its new store selection process and strengthen its position in the market.

Impact on Sprouts: Maredia has been instrumental in establishing the company’s internal control systems. He is a tireless advocate for transparency in not only financial reporting, but all areas of the operations. He has taken a lead role in developing a delegation of authority policy and code of conduct applicable to all company team members.

CFO of the Year, Nonprofit

Tanya Muñiz, CFO, Valley of the Sun United Way

Muñiz administers all financial operations and analysis. Under her leadership, the annual budget has grown from $50 million to $114 million in five years. United Way has very complex financials and undergoes six audits annually, with consistently excellent results and zero findings. Muñiz oversees a department of 20 employees who have flourished under her leadership. She led the development of organizational scorecards for measuring and managing performance. Customer satisfaction with accounting has increased by 25 percent since she became CFO.

Impact on United Way: Muñiz built a 10-year economic model that enables the organization to better plan its work and serves as a foundation for its strategic plans. The model enables Valley of the Sun United Way to see the effects of multi-year grants and major gifts, as well as recognizing that many expenses are long-term investments requiring up-front financing.
