Business Warrior Corp., the source for small businesses in America to get more customers, announced today its acquisition of Helix House, an Arizona-based award-winning marketing agency. The acquisition accelerates the growth of Business Warrior’s expanding suite of marketing and lending solutions.

Helix House has been Business Warrior’s marketing firm since 2021. The agency specializes in strategic business growth through data-driven decisions and inspired creativity. With over a decade of success applying its cutting-edge, digital-first approach, Helix House delivers transformational growth to both local and national businesses. Helix House has received several industry awards, including the 2021 Addy Award Winner, 2017 Inc. 5000, and 2017 Ranking Arizona #1 SEO Company.

“Today marks an exciting day for Business Warrior and Helix House, but the true beneficiaries of the deal are the small business owners whose marketing and lending experiences are getting a big upgrade,” said Business Warrior President, Jonathan Brooks. “Moving the award-winning talent of Helix House under our umbrella of services will raise the bar for our company and play a vital part for the long-term growth of Business Warrior.”

The agency’s operational performance also equates to revenue growth. In 2021, Helix House generated total revenues (unaudited) of $973,866, an increase of 12% compared to the year prior. Helix House is on track to continue this momentum and projects full-year 2022 revenues to increase by 25% vs. 2021.

Now a subsidiary of Business Warrior, the agency will remain under the Helix House brand name and will continue to manage its internal team of eight full-time employees. This acquisition expands the Business Warrior team to 25 professionals focused on a singular mission. The acquisition supports Business Warrior’s mission of supporting small business owners’ growth and helping them attract more customers. Helix House contributes expertise that supports the scaling of Business Warrior’s marketing services and solutions, and the companies have already initiated the integration of their systems and best practices.

“Whether it’s elevating brands above their competition, or driving revenue and market share, Helix House offers the expertise, passion and partnership needed to help any business that is hungry to grow,” said Helix House Owner, Nathan Rea.

Business Warrior is in the process of completing an audit to become fully reporting; the new combined entity will have merged audited financials for quarterly reports going forward.

“This acquisition comes with a major benefit to our finances, as one of our monthly expenses is now converted into a profit center for us,” said Brooks. “We look forward to the valuable opportunities this transaction provides to Business Warrior as well as to our clients and shareholders.”

The value of the deal at closing is $2.25 million, with $1.2 million in cash and the remaining in restricted common stock. The acquisition also includes an earn out opportunity based on revenue growth, which could bring the total value of the transaction up to $4.75 million.
